Assistant Manager V Legal & Corporate Affairs

Major Responsibilities

  • Responsible for company secretarial tasks and statutory compliance duties by working with outsourced vendor
  • Organize board, committee, and general meetings & prepare meeting materials, statutory returns and filings, and written resolutions
  • Draft information related to publications of announcement, circulars and annual/interim reports in collaboration with different departments and external service providers
  • Assist in corporate disclosure and compliance with the Hong Kong Listing Rules, Securities and Futures Ordinance, Companies Ordinance, and other overseas statutory requirement
  • Liaise with regulators, internal/external professional parties such as share registrars, printers, lawyers, and other professional firms
  • Assist in advising the Board and management for the Listing Rules and corporate governance matters
  • Review and manage legal documents, including business contracts, NDAs, terms & conditions, corporate filings, etc.
  • Handle company’s ESG reporting scheme and Risk Management program
  • Provide support in company’s corporate insurance programs


  • Degree holder in Law or Business discipline
  • Associate member of HKICS preferred
  • At least 5 years’ solid company secretarial experience with either listed companies or professional firms
  • Hands on experience in dealing with Board matters preferred
  • Good command of spoken and written English and Chinese, including Putonghua
  • Proficient in PC skills (MS Word, Excel, PowerPoint and Chinese Word Processing)
  • Self-motivated, well-organized, and detail-oriented with strong sense of responsibility
  • Strong analytical, interpersonal and communication skills
  • A good team player and able to work independently
