Our client is an asset management with focus on REIT. To cope with their business expansion, they are seeking a professional to join them.
Ensure that the policies for corporate governance and compliance with legal, regulatory and constitutional obligations are appropriate and effective, and are fully implemented. Establish an effective compliance framework and conduct regular compliance reviews to monitor its implementation. Ensure that the company complies with the REIT Code, relevant SFC codes, the SFO, relevant Listing Rules, the Trust Deed, and other agreements. Keep up-to-date with any changes in applicable rules and regulations that relate to compliance matters. Regularly review and recommend to the management on matters of corporate disclosure issues and announcements, financial reporting, connected party transactions and potential areas of conflict of interests. Ensure that all the arrangements of the Trust comply with the SFO, the relevant SFC regulations, and other applicable rules. Communicate regularly with SFC and the Stock Exchange on regulatory matters and act as a prime communication channel. Review the policies and procedures of this Compliance Manual to ensure that they are operating as expected and report to the Management if deficiencies are discovered. Review accuracy and completeness of records of all operations and transactions of the Trust.
Responsible for Company Secretary duties, assisting the Management in ensuring that there are timely and appropriate information flows to the Board and between the Non-executive Directors and the management, to enable Directors to discharge their responsibilities. Ensure that Board’s policy and procedures, and all applicable rules and regulations, are complied with by each and every Director. Ensure accurate records of Board/committee (where appropriate) meeting proceedings, discussions and decisions are recorded.
To qualify for the position, you should possess a University degree plus a recognized accounting qualification with around 5 years relevant experience in financial industry. Sound knowledge of accounting, audit or compliance functions. Good working knowledge of asset management. Independent. Sound communications skills in English and Chinese.
