Bank of China limited first opened its branch office in Hong Kong in 1917. After the listing of BOC Hong Kong (Holdings) Limited, a subsidiary of the Bank, on the Hong Kong Stock Exchange in 2002, Bank of China maintained the branch in Hong Kong which continued to hold a full banking license granted under the Banking Ordinance (Cap. 155) and was registered as an authorized institution under the Banking Ordinance. Bank of China uses this branch primarily to conduct financial markets businesses, which include foreign-currency denominated debt security investment management, issuance of CDs (Certificates of Deposit)/MTN/senior debts, investment of on-shore RMB debt securities, bond underwriting and sales, asset management, off-shore RMB trading, and risk management of the above-mentioned businesses.

Responsibilities :

  • Report to senior legal counsel, and coordinate with external counsels, project managers, sales and trading team and compliance in deal execution and transaction management
  • Review DCM documents, provide comments, flag out risk issues and suggest solutions
  • Advise on various types of agreements such as NDAs, mandate/engagement letters, various transactions documents such as subscription agreements, broker-dealer agreements, comfort letters and legal opinions
  • Maintain in-house templates of key legal documents
  • Keep abreast of market development and provide legal updates to business teams when appropriate
  • Conduct legal research and training to update and advise business unit on legal issues and regulatory matters; and
  • Actively contribute in legal and regulatory proceedings, prepare and maintain internal policies & procedures, internal memos to manage legal risk in English and Chinese

Requirements :

  • 3+ PQE preferred, qualified in UK, US, HK or PRC, multiple qualifications preferred
  • Solid experience in DCM transactions, familiar with all deal documents
  • High sense of responsibility, attention to details
  • Good communication and interpersonal skills, strong academic background and analytical skills
  • Self-motivated, well-organised and capable to accomplish tasks within deadline
  • Excellent command of both written and spoken English and Chinese (including Mandarin, Cantonese)
