Legal Director

We're looking for an entrepreneurialpeople-oriented, and commercially-oriented individual to join our team as Legal Director.

This is an executive-level position and you will be working as part of our management team reporting directly to the CEO, and will have extensive exposure to our investors.

It is much more important that you are highly entrepreneurial than a brilliant legal mind. You should get excited about analyzing new business models and potentially managing the P&L for a product.

You will also need to have sales acumen and be people-oriented. You will be both investor-facing and client/candidate-facing. Additionally, if you enjoy it and are good at it, you may have the responsibility of managing people.

By commercially-minded, we think you should be able to prioritize risk. As a startup, our largest existential risk is making sustainable profits. It's rare a startup goes out of business due to legal risks. That said, you should know when it's important to be highly detail-oriented legally and be able to do so.

Sample Responsibilities

In rough order of priority:

  • Manage our fundraising process, including finding new investors and keeping existing investors updated.  Create fit-for-purpose capitalization strategies. For example, given our cashflow, it may make more sense for us to seek revenue-based loans and venture debt than venture equity
  • Be willing to manage P&L for our fast track membership agreement, including selling it directly to clients. Be willing to learn recruitment and spin up a legal recruitment desk
  • Look at new business opportunities, e.g. offering unemployment insurance, and analyze the profit impact as well as compliance requirements / costs
  • Help us stay in compliance with relevant government requirements, with a focus on labour law / data privacy / corporate registration / fundraising / employment agency requirements
  • Choose best corporate structure for US/HK tax keeping in mind IP and exit strategy. Manage cap table and ESOP, ideally moving us to eShares / Capshares
  • Draft new contracts and review previous contracts. Focus on employment contracts and recruitment contracts. Know when to bring in outside counsel for additional expertise

Skills Required

As mentioned, the most important requirement is that you are entrepreneurial and have strong commercial sense. We figure that as long as you're smart, even if you have no experience in the below areas, you'll be able to determine when to bring in outside expertise and manage them.

The following skills would be ideal (although not all required) and are listed in order of priority:

  • Experience with employment law as recruitment firms tend to employ a large number of people, including sometimes on behalf of clients. There is a business opportunity in doing this much better, e.g. Sequoia One
  • Experience with managing corporate structure, cap table, share allocation and buy-back processes, and streamlining international US/HK tax. Currently everyone in our company takes a large porting of their comp as equity and we plan to execute yearly buy-backs as we raise money; thus this needs to be streamlined
  • Experience with structuring equity / debt / mezzanine investments. Usually you'd be exposed to this area if you've worked for private equity clients


  • Graduate in Law or related discipline
  • Ideally licensed in HK or similar jurisdiction, although a license is not required if your commercial acumen is strong enough
  • Excellent written and spoken English is imperative
