Job Overview

JPMorgan Chase Bank, N.A. ("JPMorgan") is seeking to hire Assistant General Counsel - Vice President, to join its Asia Pacific Securities Services Legal Practice Group to advise and support J.P. Morgan's Securities Services business.

The Securities Services business operates globally and its principal activities include providing global custody services, fund administrative services, securities lending programs, depositary services and collateral management services for mutual and pension funds, managed investment schemes, multi-national corporations, banks and non-bank financial institutions, and government bodies worldwide. In connection with its global custodial offering, Securities Services maintains a network of subcustodians in 100+ markets.

Location and Reporting Lines

The position is based in Hong Kong, reporting to the APAC Securities Services Legal team lead.

Role and Responsibilities

The role will primarily comprise of the following responsibilities:

  • Provide legal advice and conduct legal due diligence for Securities Services product initiatives
  • Draft and negotiate a variety of Securities Services contracts (e.g., global & direct custody agreements, subcustodian agreements, fund services agreements, securities lending agreements, and collateral management services agreements etc.)
  • Advise management and other internal stakeholders on legal matters relating to various Securities Services products
  • Lead or participate in regional and global legal initiatives, including developing templates, maintaining know-how and knowledge management, best practices and procedures
  • Instruct and work with external counsel (including managing legal costs)
  • Assist with regulatory enquiries, investigations and disputes

Candidate Qualifications

  • Common law jurisdiction-qualified with about 5 to 10 years legal experience (optimally, a combination of experience as in-house counsel in the financial services industry and as a lawyer in a top tier law firm)
  • Strong drafting, negotiation and legal analytical skills
  • Excellent communication skills, both written and oral, together with the ability to communicate and articulate legal issues effectively with colleagues at all levels locally, regionally and globally
  • Ability to prioritise and proactively manage workflow in an active and multi-jurisdictional transactional environment
  • Ability to work collaboratively and build close rapport with internal stakeholders across Sales, Product, Client Service, Operation, Risk and Compliance functions
  • Ability to timely and appropriately identify and escalate relevant issues to relevant stakeholders
  • Ability to adapt and apply legal skills in new contexts, to new businesses and subjects in which one may not have direct expertise, and willingness to develop and excel beyond his/her comfort zone
  • Ability to manage and control legal risks in a constructive manner
  • Prior experience in the area of custodial, funds and/or securities related services and Business Chinese (Mandarin) fluency will be an advantage


Qualifications: All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment.
